1. Contest Sponsor.
BasicGrey LLC (“BasicGrey”) is the official sponsor of the 2005 BE BOLD Album Contest (“Contest”).


2. Description of Contest.
BasicGrey’s 2005 BE BOLD Album Contest will award one grand prize winner $5,000 cash and a trip for two to the 2006 CHA Trade Show in Las Vegas, Nevada, January 30-February 2, 2006. All 25 finalists will receive a generous collection of BasicGrey products and Bazzill Basics cardstock.


3. Promotional Period.
The Contest period begins July 1, 2005, 12:00:01am MST and ends October 31, 2005, 11:59:59pm MST (“Promotional Period”). All entries must be received during the Promotional Period. The Top 25 finalists will be selected (based on those entries meeting the requirements set forth in these Official Rules) and notified no later than November 15, 2005. If a finalist cannot be contacted by November 15, 2005, an alternate finalist will be selected. The Top 25 finalists will be required to send their physical album and scrapbook pages to BasicGrey no later than November 30, 2005. From the Top 25 finalists, BasicGrey will award the Grand Prize and 24 finalists prizes as described in paragraph seven below. The Grand Prize winner will be announced no later than January 2, 2006.


4. How To Enter Contest.
a. Download and print an Official Entry Form at www.basicgrey.com.

b. Choose a theme for your album from one of the following nine (9) themes:
    (1) Life As We Know It
    (2) Who I Am
    (3) I Never Imagined
    (4) Believe In Yourself
    (5) My Legacy
    (6) Chances Are
    (7) Life, Unexpected
    (8) Defining Moments
    (9) Life’s Challenges

c. Size requirements: all album pages must be no smaller than 6" or larger than 12" in any one direction, and must contain a minimum of ten (10) scrapped pages.

d. Electronic submissions: email complete submission to bebold@basicgrey.com. Submission must include a scan or digital photo of the cover and all pages of the album. All attachments must be in a jpeg or pdf format. Each email attachment cannot exceed 250k in size. If journaling is hidden or illegible, contestant is encouraged to include journaling in email entry (in the body of the email or as a separate Word file attachment). Email entries must include a filled out and signed official entry form (jpeg or pdf format).

e. Mailed submissions: Color copies may be mailed to: BasicGrey, “2005 BE BOLD Album Contest,” 1343 Flint Meadow Drive, #6, Kaysville, Utah, 84037. Do not send original artwork. Submission entries will not be returned. All mailed entries must include a complete signed official entry form and essay answer, and be postmarked not later than October 31, 2005.


5. Rules of Submission.
a. All submissions must be the original work of the contestant, and not previously published, submitted for possible publication, reviewed by any magazine editor or staff, posted on any on-line galleries or message boards, or entered into any previous contest/competition. Contestants certify that the photos contained in their designs may be published by BasicGrey and that they have the right to release the photos for publication to BasicGrey.

b. Contestant’s entry constitutes permission to post entrant’s name and album/pages on BasicGrey’s website, as determined by BasicGrey.

c. All entries become the sole property of BasicGrey throughout the duration of the Contest.

d. Contestants may not post images of their album entry anywhere on the internet (galleries, message boards, etc.) or otherwise publish his/her album entry until after the Contest is completed. To do so will result in immediate disqualification.

e. Because the Contest is sponsored by a manufacturer of scrapbook paper, digitally created entries will not be accepted.

f. BasicGrey is not responsible for lost, late, incomplete, stolen or misdirected entries.

g. Late entries will not be accepted, regardless of circumstances.

h. Contestants may only enter once; more than one entry will immediately disqualify contestant.


6. Eligibility.
No purchase is necessary to win. Contest is open to all legal residents of the United States and Canada (excluding Quebec) who are 18 years or older at the time of entry. Residents of Puerto Rico are not eligible. Void where prohibited or restricted by law. Employees of BasicGrey, its respective parents, subsidiaries, affiliates, advertising and promotional agencies, sponsors, contract designers, and their immediate family members, are not eligible to enter. By entering, entrant agrees to abide by these Official Rules and the decisions of BasicGrey, which are final and binding.


7. Description of Prizes.
a. One (1) Grand Prize: The grand prize winner will be awarded $5,000.00 US cash; a trip for two to the 2006 CHA Trade Show in Las Vegas Nevada [including two round-trip air fare tickets, four nights hotel accommodations (double occupancy), and one evening meal with the BasicGrey team]; the winning album prominently displayed in the BasicGrey 2006 CHA booth; the winning album featured in a future BasicGrey national advertisement; ninety (90) days spent as a preferred contract designer for BasicGrey (the dates of the 90-day period to be determined); a featured spot in a future BasicGrey idea book; a complete collection of all BasicGrey papers and products that premiere at the 2006 CHA Trade Show in Las Vegas, Nevada; a collection of Bazzill Basics cardstock.

b. Twenty-four (24) Finalists Prizes: Each remaining finalist will receive a complete collection of all BasicGrey papers and products that premiere at the 2006 CHA Trade Show in Las Vegas, Nevada, and a collection of Bazzill Basics cardstock.


8. Judging.
All entries will be judged by a panel of judges selected by BasicGrey. Judging will be based on, but not limited to, the following criteria: (1) originality and creativity (do the layouts have an original or creative theme and use of products, is there a distinct style to the designer, is it unique); (2) quality of photos (do they tell a story, are they crisp and clear, are they expressive, is the focus on the photos in the layout); (3) quality of journaling (does the journaling provide adequate and valuable information about the photos, is the journaling meaningful and easy to read); (4) theme of album (does it tell a story, is the theme consistent); (5) overall design and craftsmanship.


9. Winner Notification, Prize Claim and Prize Delivery.
Twenty-five (25) finalists will be selected from all eligible and correctly completed entries received during the Promotional Period, and notified (via telephone and/or certified mail, return receipt requested) no later than November 15, 2005. One (1) grand prize winner will be selected from the 25 finalists and will be notified by telephone and/or certified mail, return receipt requested, no later than January 2, 2006. All Top 25 finalists will be required to complete and return an affidavit of eligibility and a liability and publicity form within fourteen (14) days of a request by BasicGrey to do so. Failure to do so will result in disqualification and another finalist will be selected. All federal, state and local taxes on prize products and prize money are the sole responsibility of the grand prize winner and all finalists, respectively. All federal, state and local laws and regulations also apply. BasicGrey will make all airline and hotel arrangements related to the grand prize, selecting the airline(s) and hotel at it’s own discretion. The product portion of the grand prize and finalist prizes will be awarded no later than February 28, 2006. BasicGrey is responsible for all shipping costs related to the prize packages. The grand prize winner and guest are responsible for their own meals (with the exception of one evening meal with the BasicGrey team) and local transportation costs (i.e., taxi fares, bus fares, shuttles) during their stay in Las Vegas, Nevada.


10. Odds of Winning.
The total number of entries received during the Promotional Period determines the odds of winning.


11. Territory.
The Contest is subject to all applicable laws and is limited to residents of the United States and Canada. Void where prohibited by law. This Contest is not open to residents of Puerto Rico or Quebec, Canada.


12. Disqualification.
BasicGrey may prohibit entrants from participating in the Contest and disqualify entries if they do not follow the Official Rules of the Contest.


13. Release Of Liability/Limitation Of Liability.
By entering, each contestant further agrees that, in the event there is any conflict or other inconsistency between the Official Rules and any advertisement, promotional or marketing materials, emails, or announcements relevant to this Contest, these Official Rules will govern.


14. Rights of BasicGrey.
BasicGrey reserves the right, at its sole discretion, to cancel or suspend the Contest due to causes beyond the control of BasicGrey that interfere in the administration, security or proper participation in the Contest. Entrants entering through the BasicGrey web site must provide a valid e-mail address. BasicGrey is not responsible for incorrect or inaccurate entry information, whether caused by internet users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error which may occur in the processing of the entries in the Contest.


15. Winners List.
To receive a list of winners, send a self-addressed, stamped envelope, together with a note requesting a copy of the winners list, to: BasicGrey, “2005 BE BOLD Album Contest,” 1343 Flint Meadow Drive, #6, Kaysville, Utah, 84037.


16. Publication.
Acceptance of any prize constitutes permission for BasicGrey to use grand prize winner’s and finalists’ names, likenesses, and submitted entries for advertising and promotional purposes without additional compensation unless prohibited by law. Each finalist and grand prize winner further grants to BasicGrey the right to use and publish his or her identity and home city and home state online and in print, or any other media, in connection with this Contest or future promotions of BasicGrey.


17. Substitution of Prizes.
No substitution or transfer of prizes will be accommodated or permitted, other than at BasicGrey’s sole discretion.


18. Email Information.
By entering this Contest, contestant gives consent and permission for BasicGrey to send contestant email updates throughout the Promotional Period.


19. Venue and Disputes.
All contestants agree that any and all claims, disputes and causes of action arising out of or related to the Contest shall be resolved, without resort to any form of class action, exclusively by the appropriate courts of the County of Davis, in accordance with the laws of the State of Utah, without giving effect to conflict of law rules which would cause the application of the laws of any other jurisdiction.

EXCEPT WHERE PROHIBITED BY LAW, BASICGREY MAKES NO WARRANTY, REPRESENTATION OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO THE USE OF THE CONTEST PRIZE, INCLUDING, BUT NOT LIMITED TO, QUALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PRIZE.
Under no circumstances will BasicGrey or any affiliated persons or entities be liable for (1) electronic, computer, telephone, network, internet or other technical or human error(s) which may occur in connection with the Contest; (2) any injury or damage to person or property, which may be caused, directly or indirectly, from participation or attempted participation in the Contest; (3) inaccurate, incomplete, lost or stolen entries or other information related to the Contest; (4) illegitimate entries (which will be disqualified); (5) punitive, indirect, incidental or consequential damages.
